ARTICLE I – Name and Purpose
Section 1. The name of the association shall be the Morada Area Association, Inc., a nonprofit
corporation, hereafter called “The Association”. The Association is not founded with the
expectations of making a profit for the benefit of any individual or entity and all funds collected
or generated shall be used for the benefit of the collective membership of the Association.
Section 2. A. Mission Statement:
The Association is committed to maintaining the unique character of the Morada community by encouraging the highest level of member involvement. The Board and members strive to maintain a beautiful, well-maintained, safe and neighborly environment for the common benefit and enjoyment of all community residents and their visitors.
The Association will continue to provide ethical and fiscally responsible solutions to promote a strong sense of community, to optimize property values, and plan for the future.
VISION STATEMENT
The Vision of the Association is PRIDE:
Provide an enriched community with a sense of dignity.
Respect and preserve the collective rights and interests of homeowners.
Invest in the community to protect property values and reputation.
Develop active member involvement to continue a strong sense of community.
Encourage all residents to meet their individual responsibilities.
Guiding Principles for the Association Board:
1) Utilize the experience of the Board members to make and implement responsible decisions and to be good stewards regarding the use of funds and assets belonging to the Association. Conduct business with transparency, and input from members and the community.
2) Uphold regulations and restrictions as specified by the State of California and San Joaquin County, and policies of the Association and take a fair, ethical and objective approach in equally representing the interests of all homeowners to ensure that all activities in the community will preserve and/or enhance the value of our properties as a whole.
3) Treat every issue which comes before the Board with respect. Work with residents in a professional, objective, ethical manner and respond to requests in a timely manner.
4) Work with property owners and government agencies to protect and enhance the value of our neighborhood by maintaining all common areas.
5) Communicate with homeowners in a timely manner through appropriate mediums, including the Morada Monitor and Neighborhood Watch, and facilitate opportunities for activities and committees promoting a close-knit neighborly community that works together for the good of all.
PROMOTE safe and secure neighborhoods by working in a cooperative manner with representatives of the police, fire, health, and civil defense
departments.
PROTECT the environment by raising awareness of pertinent issues and working closely with governmental agencies.
AGGRESSIVELY ADDRESS issues of planning and zoning that have the
potential to negatively impact interests of residents including lifestyle,
property value, safety, and the environment.
PROVIDE DIRECTION to senior residents and others needing special
assistance or protection.
PROMOTE YOUTH accountability and provide individualized guidance
through awareness, compassion, and diligence and endeavor to provide an
exceptional environment for all members of our community.
INCREASE the communication between city and county government and the
residents of the Morada Community.
GATHER and disseminate information, and encourage programs and activities
which benefit the membership and the community.
Section 3. General Boundaries of the Association shall be that area generally depicted in the map
attached hereto on the Morada Advisory Zone Map which includes Bear Creek to the north,
Alpine Road to the east, the Calaveras River to the south, and the Highway 99 Frontage Road
to the west and amendments of the same as may be authorized by the county from time to time.
ARTICLE II – Membership
Section 4. Membership in the Association shall be open to all individuals over 18 years of age,
reside or own property or operate a business within the boundaries of the Association,
contingent upon payment of dues as set forth in the bylaws. Every member shall be eligible
to vote at General and Special Meetings of the Association and for the election of the
Executive Board of the Association.
ARTICLE III – Offices
Section 5. The Principal Office for the transaction of the business of the Association shall be
located within the Morada Advisory Zone Map in Morada (CA 95212), California. The
Executive Board is hereby granted full power and authority to change the principal office
from one location to another within the Morada Area Advisory Zone Map area.
ARTICLE IV – Executive Board
Section 6. A. The Executive Board, representing the general membership and limitations
of the bylaws of the Association and the laws of the State of California, shall
exercise all the power and authority of the Association.

Section 7. A. The 5 District Representatives shall be elected from the Morada Advisory Map Zones
and shall be divided as evenly as possible into five each with one District Representative as follows:
District 1: Zone areas 1, 7, 8, 13
District 2: Zone area 2
District 3: Zone areas 3, 4
District 4: Zone areas 5, 6
District 5: Zone areas 9, 10, 11, 12
Each Executive Officer and each District Representative has one vote on the Executive
Board (for the casting vote as specified later).
Section 8. Alternates: The Secretary, Treasurer, Membership Director, Neighborhood Watch
Director, and each Representative shall select his/her alternate from the membership of the
Association. Alternates may attend Executive Board Meetings, but can only vote in the absence
of the substantive official. Alternates will not be elected, but chosen by the respective substantive
officials.
Section 9. The term of office of the Executive Board shall be for twenty-four months
and officials shall be elected at the October Annual General Meeting every second year and
shall be in office from January 1 to December 31 for 2 years.
Section 10. In the event one or more of the elected officials cannot, for any reason, fulfill their term of
office, their replacement will be elected by the Executive Board for the remainder of the term,
until the next election.
ARTICLE V – Nominating Committee
Section 11.

ARTICLE VI – Duties of the Executive Officers
Section 13.
Past President: The Past President shall use his/her experience of having served as President, to
advise and guide the Executive Board on issues of the Association, to conduct elections and
generally, as provided in these bylaws. The Past President shall function as the Parliamentarian
of the Association.
President: The President shall preside over all regular and special meetings of the Association and
Executive Board, and will perform all the duties which usually pertain to the office for the day-to-day
running of the Association and shall also be an ex officio member of all committees. The
President may nominate the Vice President to be ex officio member of any committee(s).
Vice President: In the absence of the President or the President’s inability to act, the Vice President
shall preside. The Vice President assists the President in the management of the Association, and
in identifying issues and matters which the Association should specifically address. In the absence
of the President and Vice President, the Past President shall preside at the meetings.
Secretary: The Secretary performs both recording and corresponding responsibilities of the
Association, and shall keep a complete record of the proceedings of General, Special, and Executive
Board Association meetings, and publish matters of public concern from the minutes in the Monitor.
The Secretary shall also maintain an attendance log and a motion book in which important motions
are recorded. The Secretary writes all letters and communication necessary for the conduct of the
Association business and maintains files of all correspondence received and sent.
Treasurer: The Treasurer receives and disburses moneys of the Association and shall maintain all
financial records, provide receipts and expenditures, as well as the beginning and ending balances
of all Association funds at each Executive Board meeting, including an accounting of the monthly
expenses. Annual audits for reconciliation of all transactions and statements shall be conducted
between the Treasurer and the President at year end.
Membership Director shall actively promote the Association to increase and retain
membership of the Association amongst all the residents, maintain addresses of residents
and membership by working closely with the Treasurer, and confirm the same if required for
voting purposes, assist and act as dues collection agent for the
Treasurer, organize membership drives and activities related thereto, and to promote the
stated positions of elected officials who stand for the betterment of Morada.
Neighborhood Watch Director will be on the monthly agenda and attend each meeting
to discuss upcoming events and activities, as well as work with the Sheriff’s Office and
the Deputy Community Car regarding crime in our area.
Section 14: When representing the Association, the officials of the Executive Board shall speak
only for the Association and as may be directed by the Executive Board, and not as individuals.
ARTICLE VII – Parliamentary Authority
Section 15:

inconsistent with these bylaws and any special Rules of Order which the Association may adopt.
The Past President shall be the Parliamentarian for all meetings and for rulings on the rules of order.
ARTICLE VIII – Meetings
Section 16:

Section 17: Quorum. The quorum for the Executive Board meeting shall be a majority vote.
Section 18: Attendance. Any official (or his/her alternate) of the Executive Board who is absent
for three consecutive meetings shall be removed from the Executive Board, and a replacement
shall be appointed at the fourth Executive Board meeting.
ARTICLE IX – General Provisions
Section 19: The Executive Board shall have supervision, control and direction of the affairs of the
Association, shall consider and act upon the expressed desires of the membership, shall actively
pursue the goals of the Association, and shall have discretion in the disbursement of Association
funds, subject and in accordance with the bylaws.
Section 20: The Annual dues for membership may only be set and/or amended by a Special
General Meeting of all members.
Section 21: All Bank Accounts of the Association shall have two signatories, one each from Panel A,
which consists of the President, Vice President and Chairs of committee/s and Panel B, which
consists of the Treasurer and the Secretary. No expenditure in excess of $50 (Fifty Dollars)
on one particular item may be affected without the authorization of the Executive Board, and
all such expenses shall be tabled for authorization at Executive Board meetings, with
retrospective authorization for any such expense which may have been made with the President’s
authorization due to any emergency.
Section 22: The Treasurer’s Report and financial records shall be presented and approved by the
Annual General Meeting, with estimates of income and expenses for the remainder of the year.
(The fiscal year of the Association shall be January to December).
Section 23: Budget. Between October and January, the outgoing and incoming Treasurers shall
compile a budget for the forthcoming year, which budget shall be reviewed, amended
(as necessary) and adopted by the first Executive Board in January.
Section 24: Committees may be established by the Executive Board and persons nominated
to the same, according to the needs of the Association, by the Executive Board or the general
meeting.
Section 25: MAC Nominees It is a principal function of the Executive Board, whenever there may
be vacancy(s) on the MAC (Morada Advisory Council), to recommend such members from the
Association (or Executive Board) and nominate such person(s) to the Board of Supervisors to
serve as Morada’s Representative(s) on the MAC. Such members, if selected by the Board of
Supervisors, shall act as liaison person(s) between the residents of Morada and the Board of
Supervisors, shall attend all Executive Board Meetings and shall report to the Executive Board on
matters pertaining to Morada, the Board of Supervisors and the County. In the event that person(s)
may be appointed to the MAC who have not been recommended by the Association, the Executive
Board shall make every effort to have such person(s) join the Association and represent
the residents and the Association to the County and/or Board of Supervisors.
ARTICLE X – Committees
Section 26:

residents attend public meetings, hearings and forums affecting Morada to voice Morada’s opinions.

elements of Morada, monitor and publish articles in the media pertaining to Morada, publicize
Morada favorably in the media and arrange events pertaining to the history and preservation of
Morada’s unique historical beauty.

on selection of recipients, notify the parents, teachers and recipients of scholarship award in

send checks to recipient’s college of choice in timely manner, and submit an article for
publication in the Morada Monitor about each recipient awarded.
ARTICLE XI – Amendment of Bylaws
Section 29. These Bylaws shall be adopted by a simple majority vote of those current voting members
in good standing present at any Special Meeting called and duly notified for that purpose.
Section 30. Procedure for amendment of Bylaws is as follows:

ARTICLE XII – Dissolution
Section 31. Dissolution of The Association may be affected by a two-thirds vote of its total
membership, voting by ballot and not by a two-thirds majority present at a meeting, such ballot
to be conducted by the Past President of the current Executive Board, upon receipt of a request
by at least 50% (fifty percent) of the members of the Association to dissolve the Association.
ARTICLE XIII – Bylaws Binding
Section 32. These bylaws, once adopted by the general membership of the Association at a
Special Meeting called for that purpose, shall be binding upon all its members, current and
future, whether or not all or any of those members in the affirmative for their adoption.
